When COVID Met MAE in the Ordinary Course of Business: Canadian and US Courts Take Different Approaches

The Court agreed with [the target company] that August 14, 2020, the outside date [1] by which the transaction was to close, was the appropriate date to assess whether an MAE had occurred. [The buyer] had argued that May 27, 2020 – the date that it gave notice that it would not close - was the appropriate date. The “outside date” was chosen by the Court because [the buyer] made the strategic decision not to terminate the SPA before then to avoid a potentially significant damages claim by [the target] and to reserve its ability to close [2]. Had [the buyer] formally terminated the SPA, the termination date would have been the proper assessment date.

A second timing-related issue addressed by the Court was the question of how far into the future a court should look to determine if a condition is reasonably expected to constitute an MAE. While the answer to this question will depend on the circumstances of the case, the Court underscored that the forward-looking period cannot be indefinite and the nature of the business to be acquired will play a role in this determination.

[…]MAE clauses are to be interpreted from the perspective of the party for whose benefit they were granted. [The judge] cited with approval case law from Delaware that sets out three requirements for an MAE:
an event that is unknown when the agreement is signed;
which is a threat to overall earnings potential; and
which has “durational significance”.

Of particular interest, the Court concluded that while the existence of the pandemic was known at the time the SPA was signed, the effect of the pandemic was not. The effect was, therefore, the unknown condition.
Liên quan đến cam kết duy trì hoạt động kinh doanh bình thường tòa cho rằng đây là điều khoản phải được đánh giá trong từng trường hợp cụ thể (a contextual analysis):
[A] contextual approach was applied whereby the Court found that in the face of an economic contraction, it was more appropriate to look at what [the target] had done in similar economic circumstances or what other businesses were doing. Although it was deemed in the ordinary course of any business to respond to economic downturns, the magnitude and the duration of the response factored into the Court’s analysis. The Court concluded that, in response to an economic contraction, if a business takes prudent steps that have no long-lasting effects and do not impose any obligations on the purchaser, such steps fall within the realm of ordinary course operations.

The Court’s interpretation of the ordinary course covenant […] to evaluate whether [the target]’s conduct was pursued in good faith for the purpose of continuing the business, as opposed to changing it. The Court found that none of the actions taken by [the target] in response to the pandemic fundamentally changed its business.

Cả hai tòa đều nhấn mạnh tầm quan trọng của việc công ty mục tiêu xin chấp thuận của bên mua trước khi các biện pháp mùa covid. Khi đó bên mua cũng không thể từ chối một cách vô lý được.
Những vụ việc này khẳng định sự cần thiết của điều khoản MAC và ordinary course covenant trong việc phân bổ rủi ro giữa các bên trong hợp đồng M&A. Nhìn chung MAC là để bảo vệ bên bán khỏi rủi ro mang tính hệ thống và bên mua khỏi rủi ro cụ thể gắn liền với công ty mục tiêu.
[The court] supported the principle that MAE clauses are intended to allocate systemic risks to the purchaser, whereas company-specific risks are borne by the seller.
Các bên có thể quy định khác đi trong hợp đồng. Tuy nhiên, thiếu thỏa thuận cụ thể, tòa án sẽ không tự động bênh bất kỳ bên nào:
[T]he findings further highlighted that the MAE clause could have been drafted in a way that better protected the purchaser from exogenous risks like a pandemic, however the Court made a point not to afford either party protections they could have had but did not bargain for.
Còn điều khoản ordinary course covenant là để bảo vệ bên mua khỏi những hành vi mang tính bất thường, cơ hội, và thiếu thiện chí (moral hazard) của bên bán và công ty mục tiêu trong giai đoạn từ lúc ký hợp đồng (signing) cho đến lúc hoàn tất giao dịch (closing).
The purpose of the ordinary course covenant is to protect a buyer against company-specific risks and moral hazard […], if a seller is responding to economic challenges that are unique to the target business or is behaving opportunistically, then a Court will be hard-pressed to find that such conduct falls within the ordinary course.
Ở ta có quy định về “Thực hiện hợp đồng khi hoàn cảnh thay đổi cơ bản” (Điều 420 BLDS 2015). Vậy nếu các bên đã có thỏa thuận về điều khoản MAC trong hợp đồng, liệu bên mua có còn được quyền yêu cầu tòa án chấm dứt hay sửa đổi hợp đồng không?
Ở Mỹ cũng có học thuyết tương tự là “frustration”, “impossibility” và “impracticability” nhưng câu trả lời cho câu hỏi nói trên nhiều khả năng là không vì các bên đã lường trước và xử lý trường hợp hoàn cảnh thay đổi, bất khả kháng trong hợp đồng rồi. Thỏa thuận của các bên khi đó nên được ưu tiên áp dụng.3
Outside date: Ngày hạn chót, tức ngày mà các bên thỏa thuận trong hợp đồng mua cổ phần-SPA rằng nếu quá ngày này mà các bên vẫn không hoàn tất giao dịch thì, trừ một số trường hợp ngoại lệ, bất kỳ bên nào cũng được quyền đơn phương chấm dứt hợp đồng.
